Terms & Conditions

The Legal Framework for Technological Partnership

These Terms and Conditions constitute a legally binding agreement between you (the "Client," "Buyer," or "Enterprise") and Bantu Digital Nest ("the Company," "we," or "us"). By accessing, browsing, or initiating a procurement transaction on shop.bantudigital.space, you explicitly acknowledge that you have read, understood, and agreed to be bound by these exhaustive operational frameworks.

1. The Digital-First Procurement Mandate Effective September 1, 2026, Bantu Digital Nest structurally transitioned into a 100% digital e-commerce environment. Therefore, all official quotations, inventory inquiries, invoicing, and purchasing must be conducted directly through our verified online cart system. We do not process manual sales, we do not permit physical walk-in retail browsing, and we explicitly reject localized WhatsApp or SMS quotation requests. This mandate ensures absolute inventory accuracy, mitigates human error, and provides a transparent, auditable paper trail for your corporate accounting departments.

2. Pricing Dynamics, Tariffs, and Currency All prices listed on shop.bantudigital.space are subject to dynamic adjustment without prior written notice. Given the volatile nature of global silicon manufacturing, raw material costs, and international shipping freight rates, component pricing may fluctuate. Prices displayed are exclusive of destination-specific import duties, regional value-added taxes (VAT), and cross-border shipping tariffs unless explicitly itemized at the final checkout screen. In the event of a catastrophic typographical pricing error on our platform, we reserve the unilateral right to freeze, cancel, and refund the erroneous order prior to physical dispatch.

3. Hardware Specifications and Counterfeit Mitigation Bantu Digital Nest is steadfast in its commitment to combating counterfeit electronic components—a severe risk in African supply chains. We guarantee that all microcontrollers, industrial switchgears, RF transceivers, and IoT sensors are sourced from globally certified manufacturers and authorized foundries. However, manufacturers frequently revise product designs (e.g., updating a PCB layout or altering a heat sink extrusion). While we strive for absolute accuracy in our technical meta-tags and product imagery, we cannot guarantee that the physical dimensions of a revised component will match legacy datasheet iterations perfectly.

4. Software Licensing and Proprietary Extensions Purchases of our custom digital solutions—including the Kopokopo payment gateway extension, Proemail software, AI Product Creator, and custom OpenCart inventory sync modules—are granted under a non-exclusive, non-transferable commercial license. The Client is strictly prohibited from reverse-engineering, redistributing, or reselling the underlying PHP code, API frameworks, or architectural logic of these software extensions without an explicit, written enterprise licensing agreement from Bantu Digital Nest.

5. Warranties, Limitation of Liability, and Indemnification Bantu Digital Nest acts as a specialized distributor of high-technology hardware. Specific product warranties, failure rates, and Mean Time Between Failures (MTBF) are governed exclusively by the original equipment manufacturer's (OEM) documented terms.

Under no circumstances, including gross negligence, shall Bantu Digital Nest be held legally or financially liable for any indirect, incidental, punitive, or consequential damages. This includes, but is not limited to: loss of corporate revenue, catastrophic factory downtime, data loss, or secondary hardware damage resulting from the improper installation, thermal overloading, or misconfiguration of our electrical components and IoT networks. The Client assumes all risk associated with integrating these parts into their proprietary systems.

6. Governing Law and Dispute Resolution These Terms and Conditions, and any disputes arising from the procurement of hardware or software from Bantu Digital Nest, shall be governed by, construed, and enforced in accordance with the laws of the Republic of Kenya. Any irreconcilable legal disputes shall be submitted to binding arbitration located in Nairobi, Kenya, under the rules of the Chartered Institute of Arbitrators (Kenya Branch).
